Terms of Service

These terms are the agreement between Joe Co. Solutions LLC and the organization that uses the Joe Co. OS platform. By using the platform, you agree to them. If you're agreeing for an organization, you confirm you're allowed to bind it.

Who these terms are between

Joe Co. (also "we" and "us") is Joe Co. Solutions LLC. "You" is the organization that signs up to use the platform. "Customer Data" is everything you and your people put into the platform, including volunteer applications, grant and development records, and the personal information of your volunteers, donors, staff, and contacts. An "End User" is a person whose information you collect through the platform.

The platform and your license to use it

We give you a non-exclusive, non-transferable right to use the platform for your organization's own work while these terms are in effect. You don't get any ownership of the software itself.

Your accounts and responsibilities

You're responsible for your users and for keeping login details secure. You're responsible for the accuracy of your Customer Data and for having the right to collect and use it, including any consents your End Users need to give, and parental or guardian consent where a program collects information about minors.

Acceptable use

You agree not to break the law with the platform, upload harmful code, try to reach another organization's data or break the platform's security, resell or sublicense the platform, or use it to send unlawful or harassing messages.

Your data stays yours

You own your Customer Data. We don't sell it, and we don't use it for advertising. You give us only the limited permission we need to host, process, secure, back up, and display your data so the platform works for you, and to provide support. For most End User data you are the controller and we act as your service provider. We handle personal information as described in our Privacy Policy.

AI features

Some features use a third-party AI provider (currently OpenAI) to score grant fit and draft documents from the information you provide. By default these run on our platform key with a per-organization budget cap, and we record usage. You can choose to use your own AI key, in which case those calls are billed to you and we store that key encrypted. AI output can be wrong, so review it before you rely on it.

Fees

Fees, if any, are set in your order or separate agreement with us. Some organizations, including launch and nonprofit partners, may use the platform at no charge. That doesn't change the rest of these terms. We'll give reasonable notice before any fee change.

Confidentiality

Each side will protect the other's non-public information and use it only to make the platform work. This doesn't cover information that's already public or that the law requires us to share.

Availability and warranties

We work hard to keep the platform available and we post status at status.joegogo.com. The platform is provided "as is" and "as available." We don't promise it will be uninterrupted or error-free, and to the extent the law allows, we disclaim implied warranties.

Limitation of liability

To the extent the law allows, neither side is liable for indirect, incidental, or consequential damages, and our total liability is limited to what you paid us for the platform in the 12 months before the claim, or a reasonable amount where the platform is provided free.

Ending the agreement and your data

Either side can end this agreement with reasonable notice, or for a material breach that isn't fixed in a reasonable time. You can export your organization's data at any time from inside the platform. After your agreement ends you'll have 30 days to export your data, after which we delete it from active systems and backups age out on their normal cycle.

Changes

We may update the platform and these terms. For material changes we'll give reasonable notice. Continuing to use the platform after a change means you accept the updated terms.

Governing law

These terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law rules.
